Terms of Service

The terms that apply to use of ScholaGrid's school-management Platform and Support Centre.
Acceptance and scope
These Terms of Service ("Terms") govern access to and use of the ScholaGrid website, web application, and related services (collectively, the "Platform"). In these Terms, "ScholaGrid", "we", "us", and "our" mean the operator of the Platform.
By accessing or using the Platform, you agree to these Terms. If you use the Platform on behalf of a school or another organisation, you confirm that you are authorised to accept these Terms for that organisation. If you do not agree, do not access or use the Platform.
A School's subscription, order form, or other written agreement with ScholaGrid may include additional or different terms. If there is a conflict, that written agreement controls for the School's subscription.
Key terms
"School" means an educational institution that has been given access to the Platform. "User" or "you" means anyone who accesses or uses the Platform, including a school administrator, teacher, accountant, parent or guardian, student, or authorised ScholaGrid personnel.
"School Data" means information a School or its authorised users enter into, upload to, or generate through the Platform, including student, parent or guardian, staff, academic, attendance, communication, fee, expense, and reporting information. "Content" means any text, messages, documents, images, learning materials, or other information made available through the Platform.
Accounts, access, and roles
The Platform provides role-based access for the school community. A School controls who it authorises as school administrators, teachers, accountants, parents or guardians, and students, and determines the information and features made available to each role.
You must provide accurate account information, keep your sign-in credentials and devices secure, and promptly report suspected unauthorised access. You must not share credentials, one-time codes, session links, or access tokens with anyone else, or use another person's account without permission.
- You must use the Platform only within the permissions assigned to your role and School.
- Parents or guardians may access only the information for children whom the School has correctly linked to their account.
- Students may access only the information and learning resources made available to them by their School.
- A School is responsible for reviewing access and removing or changing it when a user's role, relationship, or authority changes.
School responsibilities
Each School is responsible for its educational and administrative decisions, the accuracy and lawfulness of School Data, and the way it configures and uses the Platform. This includes ensuring that authorised users have an appropriate basis to access information and that any required notices, consents, or other permissions have been obtained.
Schools remain responsible for the content of their records, communications, academic decisions, staff decisions, fee policies, and relationships with students, parents or guardians, and staff. ScholaGrid provides technology to support these activities; it does not make decisions for a School.
Permitted use and prohibited conduct
You may use the Platform only for legitimate school-management, educational, administrative, communication, and support purposes. You must comply with applicable law, these Terms, and your School's policies.
You must not misuse the Platform or help anyone else misuse it. In particular, you must not:
- Access, attempt to access, or disclose another School's data or any information outside your authorised scope.
- Impersonate another person, misrepresent your identity, role, or affiliation, or use credentials that do not belong to you.
- Upload, send, or distribute unlawful, harmful, threatening, abusive, defamatory, discriminatory, infringing, or irrelevant Content; or use communications features for spam or non-school purposes.
- Interfere with the Platform's operation or security; probe, scan, reverse engineer, decompile, or attempt to bypass access controls or School separation.
- Use automated tools, bots, scrapers, or other means to access the Platform except through an interface we expressly authorise.
- Use School Data for a purpose unrelated to the educational or operational purpose for which it was collected, or export it in bulk except through features or permissions made available by the School or ScholaGrid.
Fees, financial records, and payroll
Where enabled for a School, the Platform may help record or present fee structures, invoices, payment status, expenses, and financial reports. A School remains solely responsible for its fee policies, accounting records, tax obligations, payment decisions, reconciliations, and compliance obligations.
ScholaGrid does not handle, calculate, pay, manage, or account for a School's payroll. We are not an employer, payroll provider, accountant, bank, or financial adviser for any School, User, or member of a School community.
Subscription fees, billing arrangements, and payment terms for the Platform are governed by the plan or written commercial agreement applicable to the School. Unless that agreement says otherwise, no refund, payment, or financial outcome is guaranteed by these Terms.
Content, communications, and disputes
Users and Schools are responsible for the Content and communications they create, upload, send, or make available through the Platform. You retain any rights you have in your Content, and grant ScholaGrid the limited right to host, process, reproduce, and display it only as needed to operate, secure, support, and improve the Platform for the relevant School.
ScholaGrid is not a party to, and will not mediate or be responsible for resolving, disputes or disagreements between Users, Schools, parents or guardians, students, staff, or other third parties. The relevant School remains responsible for addressing matters within its school community.
Data protection and privacy
Schools generally decide what School Data is entered into the Platform and are responsible for their notices, permissions, legal basis, access settings, and data-quality obligations. ScholaGrid processes School Data to provide, secure, maintain, and support the Platform, in accordance with a School's instructions, these Terms, the Privacy Policy, and applicable law.
We collect only the information reasonably necessary to carry out Platform operations, security, support, and related lawful purposes. We do not intentionally collect unnecessary information, sell Student Data, or use Student Data for advertising or third-party marketing. Our Privacy Policy explains our information practices in more detail.
Intellectual property
The Platform, including its software, design, features, documentation, logos, and trademarks, is owned by or licensed to ScholaGrid and protected by applicable intellectual-property laws. Subject to these Terms and any applicable School agreement, ScholaGrid grants you a limited, non-exclusive, non-transferable, revocable right to use the Platform for its intended purpose.
Nothing in these Terms transfers ownership of the Platform or ScholaGrid's intellectual property to you. Suggestions or feedback you provide may be used by ScholaGrid without restriction or compensation, provided we do not identify you without permission.
Availability, changes, and support
We may maintain, modify, suspend, or discontinue any part of the Platform to improve it, address security issues, comply with law, or respond to operational needs. We will use reasonable efforts to give notice of material changes where appropriate, but we do not guarantee that the Platform will always be available, uninterrupted, timely, secure, or error-free.
Support is provided through the ScholaGrid Support Centre. Support communications and technical assistance do not create commitments beyond the applicable School agreement or these Terms.
Disclaimers and limitation of liability
To the fullest extent permitted by applicable law, the Platform is provided "as is" and "as available". ScholaGrid disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free service.
ScholaGrid is not responsible for the accuracy, completeness, or timeliness of School Data or Content entered by a School or User, or for educational, employment, financial, medical, legal, safeguarding, or other decisions made by a School or User using the Platform.
To the fullest extent permitted by applicable law, ScholaGrid will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, business opportunity, or reputation, arising from or related to the Platform or these Terms. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
To the extent permitted by applicable law, ScholaGrid is not responsible for loss, harm, unauthorised access, or disclosure resulting from a School's or User's misuse of the Platform, credentials, devices, access rights, or Content. This does not limit any obligation that cannot lawfully be excluded.
Suspension and termination
We may suspend, restrict, or terminate access to the Platform where reasonably necessary to address a breach of these Terms, protect Users or the Platform, comply with law, prevent harm, or respond to a School's instruction or the end of its subscription. A School may also remove or change a User's access at any time.
On termination or suspension, your right to access the affected part of the Platform ends or is limited as stated. Provisions that should reasonably survive termination, including provisions about data, intellectual property, disclaimers, liability, disputes, and general terms, will survive.
Governing law and disputes with ScholaGrid
Before starting formal proceedings against ScholaGrid, you agree to submit the issue through the Support Centre and allow a reasonable opportunity to review it. This does not require ScholaGrid to resolve disputes between Users or within a School community.
Unless a written agreement with the relevant School states otherwise, these Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising directly between you and ScholaGrid that cannot be resolved informally will be subject to the courts with jurisdiction in Nigeria, except where applicable law requires otherwise.
Changes to these Terms and contact
We may update these Terms as the Platform, our services, or legal requirements change. We will publish the revised Terms here and update the Last Updated date. Where required, we will provide notice of material changes through the Platform or another appropriate channel. Continued use after revised Terms take effect means you accept them.
For questions about these Terms, submit a verified request through the ScholaGrid Support Centre and choose the most relevant category. A School should use its agreed support channel for subscription or commercial questions.
